Universal Terms of Service Agreement

Welcome to KitStacks (“we,” “us,” or “our”). By accessing or using our website, products, or services (collectively, the “Services”), you agree to comply with and be bound by this Terms of Service Agreement (“Agreement”). If you do not agree to these terms, please do not use our Services.

1. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including all policies incorporated herein: our License Terms, Refund Policy and Privacy Policy. We reserve the right to modify or update these terms at any time, and your continued use of the Services signifies acceptance of any changes. The version in effect when you place an order applies to that order.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use our Services. By using our Services, you represent and warrant that you meet these age requirements.

3. User Responsibilities

• You agree to provide accurate, current, and complete information when registering or using our Services.
• You are responsible for maintaining the confidentiality of your account login information and license keys, and for all activities that occur under your account.
• You agree not to misuse the Services, including but not limited to transmitting harmful, illegal, or unauthorized content.
• You shall not attempt to interfere with or disrupt the operation of the Services or compromise their security.

4. Prohibited Activities

You agree not to:

• Use the Services for any illegal, fraudulent, or unauthorized purposes.
• Engage in any activity that could harm, disable, or impair the Services or servers.
• Attempt to gain unauthorized access to any part of the Services or accounts.
• Use automated means to access or collect data from the Services.
• Share, resell, or redistribute products or license keys, or remove or bypass license checks.
• Infringe upon the intellectual property rights of others.

5. Payment and Billing

• Accepted payment methods: PayPal, and credit/debit cards processed through PayPal.
• One-time purchases (lifetime licenses, support add-ons and installation services) are charged in full at checkout.
• Monthly and annual plans renew automatically. When you start a plan, you authorize us to charge the plan price shown at checkout through PayPal at the start of every billing period (each month or each year) until you cancel. The first charge is taken at checkout and includes any add-ons you selected.
• Cancelling a plan: you can cancel at any time from your account (My account → license → Cancel renewal) or from your PayPal account. Cancellation stops future charges; you keep access until the end of the period you have already paid for.
• Price changes: we will give you at least 30 days' notice by email before a price change applies to an existing plan.
• Failed payments: if a renewal payment fails and is not resolved, access to updates, downloads, support and license activation for that plan ends after a short grace period.

You agree to pay all applicable fees and charges. Payments are non-refundable unless explicitly stated in our Refund Policy. We reserve the right to suspend or terminate your access if payments are overdue or if you violate this Agreement.

6. Intellectual Property

All software, content, trademarks, logos, and other intellectual property associated with the Services are owned by or licensed to KitStacks. Products are licensed, not sold, under our License Terms. You agree not to reproduce, distribute, modify, or create derivative works except as those License Terms allow or with our prior written consent.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using our Services, you consent to such data practices.

8. Digital Delivery

Products are delivered as downloads from your account immediately after payment. By completing checkout, you request immediate delivery and acknowledge that, where the law gives you a right to cancel a purchase of digital content, that right ends once the download is made available to you.

9. Support Inquiries

All support requests must be submitted through a support ticket from your account or on our support page, or by email to support@kitstacks.com. Support inquiries sent through other channels may not be addressed. Support levels and response times are described on each product page.

10. Limitation of Liability

To the maximum extent permitted by law, KitStacks shall not be liable for any damages arising from the use or inability to use our Services, including but not limited to consequential, incidental, or punitive damages. Our total liability for any claim is limited to the amount you paid for the product or service giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless KitStacks, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses resulting from your violation of this Agreement or misuse of the Services.

12. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, and without prior notice. Licenses end automatically if this Agreement is breached, or if an order is refunded or charged back.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflicts of law principles.

14. Dispute Resolution

Any disputes arising under this Agreement shall be resolved through binding arbitration in St. Lucie County, Florida, in accordance with the rules of the American Arbitration Association.

15. Miscellaneous

• Entire Agreement: This Agreement, along with our License Terms, Refund Policy and Privacy Policy, constitutes the entire understanding between you and KitStacks regarding the use of our Services.
• Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in effect.
• Waiver: Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
